BYLAWS

NUSACC's bylaws are the guiding principles by which NUSACC operates. The board of directors formulated NUSACC's operating policies for the management team to implement under the direction of the Chief Operating Officer (CEO). NUSACC will implement policies as spelled out by tasks through committees in accordance with the provisions of its bylaws.

BYLAWS OF THE NIGERIA USA CHAMBER OF COMMERCE [NUSACC]

ARTICLE II
MEMBERSHIP

Section 2.1: Eligibility. Any individual, business firm, association, corporation, partnership or estate having an interest in participating in and furthering the purposes of the NUSACC shall be eligible to apply for membership.

Section 2.2: Application for Membership. Applications for membership shall be in writing, upon completion of forms provided for that purpose. An application for general membership or a nomination for Honorary Membership shall be reviewed by the Board of Directors. An affirmative vote of 2/3 (two-thirds) of those Directors in attendance shall be required to grant membership in the NUSACC.

Section 2.3: Types of Membership. The NUSACC shall have two types of memberships – “General Membership” and “Honorary Membership.”

Section 2.4: Classes of General Membership. General membership shall further be classified into “Platinum Membership,” “Silver Membership,” and “Gold Membership.” Each class of membership shall be distinguished by (a) the initial registration fee on a sliding scale basis to be formulated and determined by the Board of Directors; and (b) the benefits and privileges attached to the specific class (which will be determined by the Board).

Section 2.5: Honorary Membership. An Honorary Member is a special status to be bestowed by the Board of Directors. Honorary membership shall be bestowed on well accomplished individuals who are adjudged to be of unimpeachable character and integrity, and who identify themselves with the goals and aspirations of the Chamber. Honorary members will receive all publications, utilize the facilities, serve on standing committees and attend all regular and special meetings in addition to having the privilege of the floor at such meetings.

Section 2.6: Member Benefits. Members of the NUSACC shall enjoy the following and other benefits:

  • Receive all publications of the NUSACC, including reports, quarterlies, and newsletters.
  • Receive current and customized research and information about trade, business and investment opportunities in Nigeria.
  • Participate in networking sessions with fellow members to benefit from their experiences and insights in doing business in Nigeria.
  • Enjoy the opportunity of a forum to meet, network and exchange information with other businessmen and women from Nigeria.
  • Participate in business seminars, workshops, and trade shows/exhibitions organized by the Chamber.
  • Receive discounted rates for trade missions and business trips organized by the NUSACC to Nigeria.
  • Utilize the facilities of the Chamber at discounted rates.
  • Enjoy the privilege of displaying the emblem of the Chamber, and using membership in the Chamber for promotional purposes in letterheads, websites,
    promotional ads, etc

Section 2.7: Voting and Voting Eligibility. General Members (whether they are persons, firms, associations, or corporations) shall be entitled to a vote, to hold office, receive all publications of the Chamber, utilize the facilities of the Chamber office, serve on standing committees and attend all regular and special meetings, in addition to having the privilege of the floor at such meetings. Furthermore, all members will enjoy the privilege of displaying the emblem of the Chamber, and use membership in the Chamber for promotional purposes in their letterheads, websites, promotional ads, etc. A copy of the current By Laws shall be made available and provided to all members upon request. However, Honorary Members are not entitled to vote on any issue pertaining to the
Chamber.

Section 2.8: Membership Fees and Dues. The rates, payment schedule, and formula for registration and membership dues shall be determined from time to time by the Board of Directors.

Section 2.9: Termination. Any member may resign from the Chamber upon written request to the Board of Directors; b) Any member shall be expelled by the Board of Directors upon a two-thirds vote for non-payment of dues after ninety (90) days from the due date, unless otherwise extended for good cause; c) Any member may be expelled by a two-thirds vote of the Board of Directors, at a regularly scheduled meeting thereof, for conduct unbecoming of a member or prejudicial to the aims or reputation of the Chamber, following notice and opportunity for a hearing afforded the member involved; and d) The death, resignation, expulsion, dissolution or closure of a business shall terminate a member’s membership and all rights incidental thereto. There shall be no refund of registration fees or dues.

Section 2.10: Reinstatement of Membership. Reinstatement into the Chamber of an expelled or resigned member shall be made by re-application to the Chamber in accordance with Article II, Section 2.2.

Section 2.11: Non-transferability of Membership. A general membership in the Chamber shall not be transferable from one business to another or from one individual to another without the approval of the Board.
